    1. Alua will not tolerate fraud or impersonation

      By using our services, you agree to provide accurate and truthful information during the sign-up process. Any attempt to commit fraud, including signing up under a false identity, will result in an immediate ban from our platform. In such cases, any pending payments or refunds will be forfeited, and no further access to our services will be granted. We reserve the right to take legal action if necessary to protect our business reputation and ensure compliance with these terms.

    2. Changes of terms

      We may amend the Terms of Service from time to time at our sole discretion without notice or liability to you. By continuing to use the Services following such amendments to the Terms of Service, you agree to be bound by such amendments.

    3. Changes to our services

      1. The Services that we provide are always evolving and the form and nature of the Services that we provide may change from time to time without prior notice to you. In addition, we may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally and not be able to provide you with prior notice. We also retain the right to create limits on use and storage at our sole discretion at any time and without prior notice to you.

      2. We make no representations, warranties or guarantees, whether express or implied, that our Services or any content on our site is accurate, complete or up-to-date.

    4. Accessing our Services

      1. Our basic account services are made available free of charge.

      2. We do not guarantee that our Services, or any content, will always be available or be uninterrupted. Access to our Services is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our Services without notice. We will not be liable to you if for any reason our Services are unavailable at any time or for any period.

    5. Purchasing Credits

      1. By purchasing Credits to chat with other members you agree to the Refund Policy.

      2. Maximum credit validity is 12 months and they may not be redeemed unless an applicable refund policy applies.

    6. Your account and password

      1. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You must treat such information as confidential. You must not disclose it to any third party. Alua USA Limited cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

      2. We have the right to disable any password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Service.

      3. If you know or suspect that anyone other than you knows your password, you must promptly notify us at [email protected].

    7. Your license to use the Services

      Alua USA Limited gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by us as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Alua USA Limited, in the manner permitted by these Terms of Service.

    8. Our Intellectual property rights

      1. All intellectual property rights subsisting in respect of the Services belong to Alua USA Limited or have been lawfully licensed to Alua USA Limited for use in connection with the Services. All rights under applicable laws are hereby reserved. You are not allowed to upload, post, publish, reproduce, transmit or distribute in any way any component of the website itself or create derivative works with respect thereto, as the website is copyrighted under applicable laws.

      2. You agree that we are free to use, disclose, adopt and modify all and any ideas, concepts, knowhow, proposals, suggestions, comments and other communications and information provided by you to us (Feedback) in connection with the Services and/or your use of the Services without any payment to you. You hereby waive and agree to waive all and any rights and claims for any consideration, fees, royalties, charges and/or other payments in relation to our use, disclosure, adoption and/or modification of any or all of your Feedback.

Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result the contents of this section may not apply to you. Nothing in this section is intended to limit any rights you may have which may not be lawfully limited. All Information is for your general reference only. We do not accept any responsibility whatsoever in respect of such information.

YOUR ACCESS TO AND USE OF OUR SERVICES IS AT YOUR SOLE RISK AND IS PROVIDED “AS IS,” “AS AVAILABLE.” THE SERVICES ARE FOR YOUR PERSONAL USE ONLY AND THE ENTITIES OF Alua USA Limited MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES ON MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR NON-INFRINGEMENT.

      2. THE ENTIRE LIABILITY OF THE ENTITIES OF Alua USA Limited ENTITIES AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SERVICES OR OTHERWISE, IS RE-PERFORMANCE OF DEFECTIVE SERVICES. IN JURISDICTIONS WHICH DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN TYPES OF LIABILITY, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT ENDORSE, WARRANT OR GUARANTEE ANY MATERIAL, PRODUCT OR SERVICE OFFERED THROUGH US OR OUR SERVICES. WE ARE NOT AND WILL NOT BE A PARTY TO ANY TRANSACTION BETWEEN YOU AND ANY THIRD PARTY.

      3. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE ENTITIES OF Alua USA Limited EXCEED ONE HUNDRED USA DOLLARS.

      4. The Entities of Alua USA Limited shall not guarantee or assume any responsibility that:

        1. the information presented in our Services is accurate, adequate, current or reliable, or may be used for any purpose other than for general reference;

        2. the information presented in our Services is free of defect, error, omission, virus or anything which may change, erase, add to or damage your software, data or equipment;

        3. messages sent through the internet including in connection with the services will be free from interception, corruption, error, delay or loss;

        4. access to the Services will be available or be uninterrupted;

        5. use of the Services will achieve any particular result; or

        6. defects in the Services will be corrected.

      5. Without limiting the generality of the foregoing, in no event will the Entities of Alua USA Limited be liable to you or any other person for any direct, indirect, incidental, special, punitive or consequential loss or damages, including any loss of business or profit, arising out of any use, or inability to use, the information or the services, even if any of the Entities of Alua USA Limited has been advised of the possibility of such loss or damages.

      6. You will exercise and rely solely on your own skill and judgment in your use and interpretation of the information and use of the services. You are responsible to ensure that your use of the information and the Services complies with all applicable legal requirements.

      7. Without prejudice to the foregoing, if your use of the Services does not proceed satisfactorily and/or where applicable you do not receive appropriate responses to such use from us, as set out in these Terms of Service or otherwise, you are advised to contact us at [email protected]. No such lack of response shall be deemed to constitute any acquiescence or waiver.

      8. The limitation of liability contained in these Terms of Service will apply to the fullest extent permitted by applicable laws.

    10. Linking to Us

      You may link to our Services provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our Services in any website that is not owned by you. We reserve the right to withdraw linking permission without notice.       1. The links from the Services may take you to other sites or services and you acknowledge and agree that Alua USA Limited has no responsibility for the accuracy or availability of any Information provided by third parties services and websites.

      2. The Services may include advertisements, which may be targeted to the Content or information on the Services, queries made through the Services, or other information. The types and extent of advertising by Alua USA Limited on the Services are subject to change. In consideration for us granting you access to and use of the Services, you agree that Alua USA Limited and its third party providers and partners may place such advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others.

      3. Links to other websites and services do not constitute an endorsement by us of such websites or services, or the Information, products, advertising or other materials available made available by such third parties.

    11. Indemnity

      You agree to defend, indemnify and hold us harmless from and against all liabilities, damages, claims, actions, costs and expenses (including without limitation legal fees), in connection with or arising from your breach of any of these Terms of Service and/or your use of the website. We may, if necessary, participate in the defence of any claim or action and any negotiations for settlement. No settlement which may adversely affect our rights or obligations shall be made without our prior written approval.       The illegality, invalidity or unenforceability of any provision of these Terms of Service under the law of any jurisdiction shall not affect its legality, validity or enforceability under the laws of any other jurisdiction nor the legality, validity or enforceability of any other provision.

    13. Several users

      If there are two or more persons adhering to these Terms of Service as user, their liability under the Terms of Service is joint and several, and their rights are joint.

    14. Waiver

      No failure or delay by a party to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

    15. Termination

      1. The Terms of Service will continue to apply until terminated by either you or us as follows.

      2. You may end your agreement with us at any time for any reason by deactivating your accounts and discontinuing your use of the Services. You do not need to specifically inform us when you stop using the Services.

      3. We may suspend or terminate your accounts or cease providing you with all or part of the Services at any time for any reason, including, but not limited to, if we reasonably believe:

        1. you have violated these Terms of Service or

        2. you create risk or possible legal exposure for us; or

        3. our provision of the Services to you is no longer commercially viable or

        4. you use our platform to promote competing apps. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account.

      4. In all such cases, any provision of these Terms of Service that expressly or by implication is intended to come into or continue in force on or after termination of this agreement shall remain in full force and effect.

      5. Nothing in this section shall affect our rights to change, limit or stop the provision of the Services without prior notice, as provided above in clause 3 Changes to Our Services.

    16. Governing law and jurisdiction

      These Terms of Service shall be governed by the laws of the United States. You agree to submit to the exclusive jurisdiction of the United States courts.

    17. Anti-Money Laundering (AML) Policy

      1. AML and TL Compliance Framework

        Alua is committed to fully complying with all relevant anti-money laundering laws, regulations, and guidelines, including but not limited to, the laws outlined in the Platform to Business Regulation. The Platform shall undertake comprehensive risk assessments and implement robust internal controls to identify and mitigate the risk of money laundering and transaction laundering activities effectively. Alua shall assign appropriate personnel with adequate training and expertise to oversee and enforce the AML and TL compliance framework.

      2. Screening for OFAC and PEPs

        As part of our AML measures, Alua shall conduct thorough screenings of all users, beneficiaries, and related entities against the OFAC Specially Designated Nationals and Blocked Persons List (SDN List). Additionally, the Platform shall perform screenings against global Politically Exposed Persons (PEP) lists to identify and assess any potential risk associated with PEP relationships. Should a match be found during the screening process, the Platform shall follow established escalation procedures and assess the potential risks involved, taking appropriate actions in accordance with applicable laws and regulations.

      3. Record-Keeping Requirements

        Alua shall maintain comprehensive and accurate records of all transactions conducted on the Platform, including but not limited to, user identification information, transactional data, and any relevant communication related to the transactions. These records shall be retained for the duration prescribed by applicable laws and regulations and shall be made available to relevant authorities upon request. The Platform shall ensure the security and confidentiality of these records, adhering to appropriate data protection measures.

      4. Reporting Suspicious Activities

        Alua encourages all users to promptly report any suspicious activities or transactions that may appear to be related to money laundering, terrorism financing, or transaction laundering. Reports should be submitted to the designated Compliance Officer or through an established whistleblowing mechanism on the Platform. The Platform shall treat all reports with strict confidentiality and shall take appropriate actions in accordance with applicable laws and regulations.

      5. Training and Awareness

        Alua shall provide regular AML and TL training to its employees and relevant stakeholders to ensure a high level of awareness and understanding of AML and TL risks and responsibilities. The Platform shall also ensure that all users are informed about their obligations concerning AML and TL compliance through appropriate channels.

      6. Non-Tolerance of Violations

        Alua maintains a zero-tolerance approach towards any violation of this AML and TL Policy. Any breach of this Policy or engagement in suspicious activities may result in immediate termination of the user account and may be reported to the appropriate authorities as required by law.

      7. Policy Review and Updates

        This Policy shall be reviewed periodically to ensure its effectiveness and alignment with any changes in laws or regulations. Any necessary updates to the Policy shall be promptly communicated to all relevant stakeholders. This AML and TL Policy shall serve as the guiding framework for Alua in safeguarding its platform from money laundering, terrorism financing, and transaction laundering risks while maintaining the highest level of legal and ethical standards.

    18. Age-Verification Policy

      1. Minimum Age Requirement:

        1. All users of Alua are required to be at least 18 years old. Creators attempting to access Alua must provide valid proof of age during the account creation process.

        2. Alua does not allow access to any individual under the age of 18.

      2. Age Verification Process:

        1. During the creator account creation process, users are required to provide personal information, including date of birth, name, and government-issued identification details.

        2. Alua employs age-verification services to validate the accuracy of the provided information.

        3. Users are required to submit a copy of their government-issued identification, a selfie holding the document and may also be required to provide video verification.

        4. Any application found to belong to an individual below the age of 18 is immediately suspended.

    19. Creator Vetting Policy

      1. Content Verification:

        1. All creators on Alua must submit sample content during the account creation process to ensure it adheres to Alua's guidelines and standards.

        2. Alua's moderation team reviews the submitted content and verifies that it complies with Alua's policies.

        3. Any content that violates Alua's guidelines results in the account's rejection or suspension.

      2. Legal Compliance:

        1. Creators on Alua must comply with all applicable laws and regulations regarding the content they upload as outlined in our Acceptable Use Policy.

        2. Creators are responsible for ensuring they have the necessary rights and permissions to use any copyrighted materials in their content.

      3. Review Process:

        1. Creators on Alua may undergo periodic reviews to ensure ongoing adherence to Alua's guidelines and policies.

        2. Alua reserves the right to remove content or suspend accounts if any violations are found.

    20. KYC (Know Your Customer) Policy

      1. Identity Verification:

        1. All users, including creators and subscribers, are required to undergo a KYC process during the account creation or payment verification process on Alua.

        2. The KYC process may include verifying identity documents such as government-issued identification, utility bills, or other relevant documents.

      2. Payment Verification:

        1. For financial transactions on Alua, the platform verifies payment details provided by users to prevent fraudulent activities.

        2. Alua may use third-party fraud prevention services to enhance security and reduce risk.

      3. Privacy and Data Security:

        1. Alua implements robust data security measures to safeguard users' personal information collected during the age-verification and KYC processes.

        2. Users' data on Alua is handled in accordance with Alua's Privacy Policy and applicable data protection laws.

  2. Acceptable Use Policy:

    1. Content on the site

      You agree not to upload, post, display, or publish Content on that:

      1. shows, includes or refers to:

        1. any individual under 18 years old (or which refers to individuals under 18 years old generally); or

        2. any other individual unless you have written documentation which confirms that all individuals shown or included or referred to in your Content are at least 18 years old, and you have a written consent from each individual to use their name or images (or both) in the Content;

      2. shows, promotes, advertises or refers to:

        1. firearms, weapons, or any goods whose sale, possession or use is subject to prohibitions or restrictions;

        2. drugs or drug paraphernalia;

        3. self-harm or suicide;

        4. incest;

        5. bestiality;

        6. violence, rape, lack of consent, hypnosis, intoxication, sexual assault, torture, sadomasochistic abuse or hardcore bondage, extreme fisting, or genital mutilation;

        7. necrophilia;

        8. urine, scatological, or excrement-related material;

        9. “revenge porn” (being any sexually explicit material featuring any individual who has not given prior, express and fully informed consent to that material).

        10. escort services, human sex trafficking, pedophilia, extortion or prostitution;

      3. contains unsolicited sexual content or unsolicited language that sexually objectifies another User or anyone else in a non-consensual way, or contains fake or manipulated sexual content in relation to another User or anyone else (including “deepfakes”);

      4. contains, promotes, advertises or refers to hate speech (being Content intended to vilify, humiliate, dehumanize, exclude, attack, threaten, or incite hatred, fear of, or violence against, a group or individual based on race, ethnicity, national origin, immigration status, caste, religion, sex, gender identity or expression, sexual orientation, age, disability, serious disease, veteran status, or any other protected characteristic);

      5. in the case of sexually explicit Content, was recorded in or is being broadcast from a public place where members of the public are reasonably likely to see the activities being illustrated;

      6. gives the impression that it comes from or is approved, licensed or endorsed by us or any other person or company;

      7. causes or is calculated to cause inconvenience, or anxiety to anyone else or which is likely to upset, embarrass, or cause serious offence to anyone else;

      8. is used or is intended to be used to extract money or another benefit from anyone else in exchange for removal of the Content; and/or

      9. involves or promotes third party commercial activities or sales, such as contests, sweepstakes and other sales promotions, product placements, advertising, or job posting or employment ads without our prior express consent.

    2. Reporting Content

      1. Alua does not allow any non-consensual content or content that constitutes a violation of acceptable content defined by the terms shown in section 2.1..

      2. If you are the victim or have first-hand knowledge of illegal content, we encourage you to notify us immediately by emailing [email protected] in order to initiate a content review process and take other necessary actions.

      3. Reporting users or content this way is completely confidential. When contacting us please include all relevant URL links as well as the reason and any additional context that you feel will assist us in reviewing your request to have the content removed. All content removal requests submitted are reviewed, addressed, and removed expeditiously, where appropriate.

    3. Special Considerations Regarding Minors

      1. In order to use any Services provided by the Company, You must have attained the age of majority in You are at least eighteen (18) or twenty-one (21) years of age, depending on the age of majority in Your jurisdiction, and that You have the legal capacity to enter into this Agreement. If You are not at least eighteen (18) or twenty-one (21) years of age, depending on the age of majority in Your jurisdiction, You must exit the Site immediately and may not use or access the Site or use the Services in any manner.

      2. We specifically disclaim any responsibility or liability for any misrepresentations regarding a User’s age.

      3. WE HAVE A ZERO TOLERANCE POLICY FOR PORNOGRAPHIC MATERIAL INVOLVING MINORS AND A ZERO TOLERANCE POLICY REGARDING PEDOPHILES OR ANY PEDOPHILIC ACTIVITY.

      4. You represent and warrant that Your Content contains nothing involving minors that may be considered pornographic under both state and federal law, as We strictly prohibit the use of such content in relation to Our Services.

      5. If You seek any form of pornographic materials involving minors (including “virtual” pornography involving minors), You must exit this Site and cease using Our Services immediately. We do not provide this kind of material and We do not tolerate those who provide this kind of material nor do We tolerate consumers of this kind of material.

      6. In order to further Our zero-tolerance policy, You agree that You will report any images, real or simulated, that appear to depict minors on Our Site. If You see any images or other depictions that are questionable, You agree to report these images by emailing us via [email protected].

      7. Include with Your report any appropriate evidence, including the date and time of identification. All reports will immediately be investigated and the appropriate action will be taken.

      8. We enthusiastically cooperate with any law-enforcement agency investigating child pornography, and comply with Title 18 U.S.C. 2258A relating to the mandatory reporting of actual pornography involving minors of which We become aware. If You suspect other outside websites are participating in unlawful activities involving minors, please report them to a reporting service such as ASACP.org.

    4. Content copyright policy

      1. Alua USA Limited respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

        1. a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

        2. identification of the copyrighted work claimed to have been infringed;

      2. We reserve the right to remove Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, we will also terminate a user's account if the user is determined to be a repeat infringer.     5. Use of the Services

      1. Cyber-crime such as stolen Cards and Fraudulent Use of Credit / Debit Cards: We take credit / debit card fraud very seriously. Discovery that any Member has used a stolen or fraudulent credit / debit card will result in termination of the Members account and cooperation with local law enforcement agencies when appropriate.

      2. We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Services, to suspend or terminate users, and to reclaim usernames without liability to you. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to:

        1. satisfy any applicable law, regulation, legal process or governmental request,

        2. enforce the Terms of Service, including investigation of potential violations hereof,

        3. detect, prevent, or otherwise address fraud, security or technical issues,

        4. respond to user support requests, or

        5. protect the rights, property or safety of Alua USA Limited its users and the public.

      3. We do not guarantee that our Services will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

      4. You may not do any of the following while accessing or using the Services:

        1. access, tamper with, or use non-public areas of the Services, Alua USA Limited's computer systems, or the technical delivery systems of Alua USA Limited's providers;

        2. probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

        3. access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by us (and only pursuant to those terms and conditions), (scraping the Services without our prior consent is expressly prohibited);

        4. forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or

        5. interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, trojan, worm, logic bomb or other material which is malicious or technologically harmful, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.

      5. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately.

      6. You agree to follow our content guidelines regarding the types of content that we cannot display in our app.

  3. Complaints Policy & Procedures:

    1. Reporting Complaints

      Alua encourages users and stakeholders to promptly report any concerns, grievances, or complaints related to the services provided by the Platform. Complaints can be submitted through designated communication channels, such as the official support email address or the in-platform messaging system. Users must provide all necessary details and information relevant to their complaint to facilitate a comprehensive review and resolution process.

    2. Handling and Resolving Complaints

      Upon receipt of a complaint, Alua shall diligently review and assess the matter to understand the nature and scope of the issue raised. The Platform shall handle complaints in a fair, impartial, and confidential manner, ensuring due consideration of all parties involved. Alua shall make reasonable efforts to resolve complaints promptly and efficiently. The time frame for resolution shall be determined based on the complexity and urgency of each individual case. All complaints are reviewed and resolved within 7 business days.

    3. Removal of Content

      In instances where a complaint pertains to content hosted on the Platform, Alua shall conduct a thorough review to determine if the content violates the established community guidelines or terms of service. If content is found to be in violation, Alua reserves the right to remove or take appropriate actions regarding the said content, in accordance with its content policy. The decision to remove content shall be communicated to the affected parties along with the reason for removal, if applicable.

    4. DMCA Compliance and Notice of Copyright Infringement

  5. Your Content & Data Usage

      You retain all and any of your ownership rights to any content you submit, post or display on or through the Services.

    2. Alua requires a royalty-free license from you to display and otherwise use your content as outlined below.

      For this reason, when submitting, posting or displaying content on or through the Alua services:

You grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Alua platform for purposes directly related to providing our services, including making your content available to users and maintaining the security and functionality of the platform.

    3. Alua must share your data with 3rd party service providers for running day-to-day operations such as hosting and payments.

      1. You grant us permission to share any or all relevant data with third party service providers that Alua uses to operate the platform.

      2. Any third-party service providers we work with are contractually obligated to protect your data using industry-standard security practices and may only use it for the specific services they provide to Alua.

      3. Alua takes your privacy very seriously. Under no circumstances will we share your data with any third parties that are not essential to the platform’s operation, unless required by law.

      4. We adopt Cybersecurity best practices & DMCA to keep your content safe.

      5. We will never use your content for advertising purposes on other websites or apps without your explicit consent.

      6. We may be required to disclose your content to regulatory authorities when legally required under a valid Warrant, Court Order, or similar legal process, in accordance with applicable data protection and privacy laws.

    4. Content Monitoring

      Alua monitors for any illegal content uploaded to our service. We may modify, delete or adapt your Content to facilitate its transmission, display, or distribution over various media or networks. However, we will not alter the substantive meaning or intent of your content.

    5. Responsibility for Content

      You are responsible for your use of the Services, for any Content you provide, and for any consequences thereof, including the use of your Content by other users. You represent and warrant that you have all necessary rights to upload and share any content you submit through the Alua platform.
